
GSA SUPPORT FOR NZFGC MEMBERS
Supporting our members is why NZFGC exists - and we know the recent Code changes mean suppliers need clear understanding of what’s changed and how it applies in practice.
The objective
As a membership association, we can provide general guidance, but we know many members are seeking more tailored legal and commercial advice.
To support this, we’ve developed an additional support package delivered by NextGen Group and MinterEllisonRuddWatts. This offer includes two components: (1) a legal component and (2) a commercial component.
How to take up the offer?

Legal component
MinterEllisonRuddWatts (MERW) and the NZFGC have worked together to provide members with an affordable, practical option for obtaining an initial legal review of the RGRs’ Grocery Supply Agreements, subsidised by the NZFGC, MERW will conduct a high-level initial legal red flags review of members' base/master Grocery Supply Agreements provided by each RGR and prepare a summary of key legal risks.
Commercial component
NextGen has been working in the Code space for over a decade and has partnered with the NZFGC to enhance the capability of NZ grocery executives in utilising the Code. NextGen will provide members with a view of some of the unintended and potential consequences of elements of the RGRs’ offers. The NextGen Team will also look at the legal risks identified by MERW and what this might lead to in day-to-day business. It might be permissible but is it desirable or should it be limited in your specific circumstances?
There is also the matter of “you could” but “should you”? What is the value to your business of seeking a variance on specific area, what is the rationale and then how do you prioritise? These are areas NextGen can help you with and in the standard and tailored programmes NextGen offers an opportunity to have focused discussions and potentially include a slightly wider team in those discussions.
The output
An individualised integrated high-level summary of key legal risks and commercial considerations of your offers from each RGR. In addition, through the process your team will have the opportunity to gain a deeper level of understanding of what the Code and the RGR’s Grocery Supply Agreements may mean for your business.
NZFGC support
While the NZFGC has contributed to the cost of the support package, and this offer is available exclusively to NZFGC members, each member's engagement with MERW and/or NextGen is a separate bilateral arrangement between the member and the relevant service provider. The NZFGC is not a party to, and has no involvement in, any such engagement. The NZFGC does not provide, endorse, review or have access to any advice or output delivered to members by MERW or NextGen. Nothing in this support package constitutes a recommendation by the NZFGC to its members in respect of any particular course of action, negotiating position or commercial strategy. Members are solely responsible for their own independent decisions regarding their Grocery Supply Agreements with each RGR.
Engagement terms
MinterEllisonRuddWatts – These packages are limited. Each member engagement is subject to our Standard Terms of Engagement and Information for Clients, and to our standard matter opening processes, including conflict checks.
NextGen - Each member engagement will be subject to our Standard Terms of Engagement.
